Terms and Conditions of Service

The terms and conditions of service shown here(hereinafter referred to as the"Terms and Conditions")set forth the terms between ARTE Co.,Ltd. (hereinafter referred to as the"Company")and users(hereinafter referred to as the"User"or"Users"depending upon context)of any service of 1log (hereinafter referred to as the"Service" or “1log Service”), which is provided by the Company.

1. Definitions

The following words and terms shall have the meanings set forth below when they are used in the Terms and Conditions.

1.1.”content(s)”

"content(s)" means information such as text, audio files, music, images, videos, software, programs, computer code, and the like.

1.2."Content(s)"

"Content(s)"means content(s) that may be accessed through the Service.

1.3."Separate Terms and Conditions"

"Separate Terms and Conditions" means documents posted by the Company that pertain to the Service, under the title"Privacy Policy", "Provision of Location Information Data", and the like.

2. Agreement to the Contract

2.1 Agreement to Terms and Conditions

All Users shall use the Service in accordance with the terms stated in the Terms and Conditions.

2.2. Minors

Minors (excluding those with an operating license, or those who are married)may use the Service only with consent from their parents or legal guardian (including the consent of the Terms and Conditions). Also, a User who has agreed to the Terms and Conditions as a minor once reaches the age of adult and uses the Service, the Company will assume that the User has acknowledged that he/she had used the Service as a minor according to the Terms and Conditions.

2.3 Use for Business Purpose

If Users use the Service on behalf of a business entity, then an authorized representative of the business entity must agree to the Terms and Conditions.

2.4 Agreement to Terms and Conditions by Using the Service

By actually using the Service, Users are deemed to have agreed to the Terms and Conditions of the Service. Such agreement is valid and irrevocable.

2.5 Agreement on Separate Terms and Conditions for the Service

If there are Separate Terms and Conditions for the Service, Users also shall comply with such Separate Terms and Conditions as well as the Terms and Conditions.

3. Modification of Terms and Conditions

3.1 Modification of Terms and Conditions and Separate Terms and Conditions

The Company may modify Terms and Conditions and Separate Terms and Conditions at any time if the Company deems it necessary.

3.2 Consent after modifying Terms and Conditions and Separate Terms and Conditions

The modified Terms and Conditions and Separate Terms and Conditions shall become effective from the time they are posted on an appropriate location within the Service or on the website operated by the Company. Users shall be deemed to have granted valid and irrevocable consent to the modified Terms and Conditions or Separate Terms and Conditions by continuing to use the Service. Users shall refer to the latest Terms and Conditions and the applicable Separate Terms and Conditions on a regular basis when using the Service.

4. Account

4.1 Account Registration

Users, when providing information about him/herself to the Company, shall provide genuine, accurate, and complete information while using the Service, and keep such information up-to-date at all times.

4.2 Account Management

If Users register a password while using the Service, Users shall exercise due care and responsibility in order for the password not to be used in an unlawful manner by the third party. The Company may treat all acts conducted with the password as acts that have been conducted by the holder of the password.

4.3 Deleting Account

Any registered User to the Service may delete his/her account at any time.

4.4 Account Suspension or Deletion due to Violation of the Terms and Conditions

The Company may suspend or delete a User's account without giving prior notice to the User if the Company believes that the User has violated or is going to violate the Terms and Conditions.

4.5 Deletion of Inactive Account

The Company reserves the right to delete any account that has been inactive for a period of a year or more since its last activation, without any prior notice to the User.

4.6 Rights to Use the Account

Each account in the Service is for the exclusive use for a User and belongs solely to the owner of the account. Users may not transfer or lend their accounts to any third party nor may their accounts be inherited by any third party.

5. Privacy

The Company promises to properly handle the Users’ privacy and personal information according to the Privacy Policy of 1log Service.

6. Provision of Service

6.1 Operating Environment for Usage of the Service

Users shall make available the necessary smart phone, operating system, browser, data connection, and electric power etc. for using the Service under Users' own responsibility and at the expense of User’s own expense. In addition, if the User is a minor (excluding those with an operating license and those who are married), the User shall use the operating environment the User’s legal guardian such as User’s parents allow the User to use. Please refer to the Operating Environment separately posted for operating environment and restrictions of the Service.

6.2 Conditions for Providing the Service

The Company reserves the right to limit access to the whole or part of the Service to the Users who satisfy the conditions the Company deems necessary, such as identity verification etc.

6.3 Modification and Termination of the Service

The Company reserves the right to modify or terminate, at the Company's own discretion, the whole or part of the Service (including specifications, rules, designs, effects, parameters and all other matters) at anytime without any prior notice to the Users.

7. Conditions for Use of Contents

7.1 Rights to Use the Contents

The Company grants Users a non-exclusive license to use the Service of the Contents, which can not be transferred nor granted further to a third party.

7.2 Intellectual Property Rights and Other Rights Relating to the Content

Users shall abide by the conditions, when using the Contents with the conditions separately defined for usage fees, periods of use, etc. Notwithstanding situations where phrases such as"SNS Sharing","Save in file",and the like appear on the Service screens, all intellectual property rights as well as all other rights related to the Contents offered to Users by the Company shall remain with the Company and only the rights to use the Contents are given to Users.

7.3 Use of Contents

Users shall not use the Contents beyond the scope of the intended use of the Contents in the Service(including but not limited to copying, sending, reprinting, modifying, etc.).

7.4 Editing this Content

The Company shall permit Users to edit the Contents within the above-mentioned rights of the use of the Contents.

7.5 Examination of the Contents being used by Users

The Company may examine the Contents being used by Users, in order to ensure compliance with related laws or provisions set out in the Terms and Conditions. However, the Company is not obligated to conduct such investigations.

7.6 Restriction of Access due to Violation if the Terms and Conditions

If the Company acknowledge that the User has violated or may violate applicable laws or provisions in the Terms and Conditions related to the Contents or in case any other operational necessities arise, the Company may restrict the User’s access to the Service without prior notice to the User.

8. Temporary Suspension of the Service

8.1 Maintenance

The Company shall maintain the Service periodically and sometimes on an unscheduled basis. In this case, the Service shall restart as maintenance is completed.

8.2 Suspension due to arising from other companies

The Service may be suspended when access restrictions or troubles by third party service providers (SaaS platform "AWS / Amazon" and mobile software distribution platform (App Store / Apple)) occur within the Service. In this case, the Service shall restart as soon as access restrictions or troubles are resolved.

8.3 Force Majeure

The Company shall suspend the Service on the occurrence of any event of Force Majeure without prior notice to the Users. In this case, the Service shall restart as soon as the situation of force majeure is resolved.

9. Prohibited Acts

When using this Service, Users must not engage in the following.

9.1 Illegal Acts

Acts that violate laws, court decision, court rulings, court orders, or administrative measures that are legally binding

9.2 Acts against the Public Order or Customs

Acts that may disrupt public order or corrupt public morals and customs

9.3 Anti-social Acts

Acts that benefit or collaborate with anti-social groups.

9.4 Infringement of Legal or Contractual Rights

Acts that infringe intellectual property rights, such as copyrights, trademark rights and patents, rights to protect one’s honor and privacy, and all other rights of the Company and/or a third party granted by the law or contract.

9.5 Permission for Use to a Third Party

Acts of permitting a third party to use or dispose the Contents and the data of the Service by the methods not approved by the Company, such as lease, exchange, transfer, name change, trading, pledge, collateralising, and etc.

9.6 For-profit Acts

Acts that use the Service for profit such as sales, marketing, advertisement, soliciting or other commercial purposes(except for those approved by the Company), that use the Service for religious activities or solicitation to religious organizations, that use the Service for the purpose of sexual conducts or obscene acts, that use the Service for the purpose of meeting and dating a person for a sexual encounter, that use the Service to provide or invite to display information considered to be child pornography or child abuse, that use the Service for the purpose of harassing or slandering third parties, or that use the Service for purposes other than the Service’s true intent.

9.7 Violent and Discriminatory Acts

Acts to post or transmit excessively violent expressions, blatant sexual expressions, expressions that lead to discrimination by race, national origin, tenet, sex, social status, family origin, etc., expressions that induce or encourage suicide, self-injury behavior, or drug abuse, or expressions that include anti-social contents and produce discomfort to others.

9.8 Acts to be Considered as Spam

Acts such as sending the same or similar messages indiscriminately to numerous Users(except for those approved by the Company), indiscriminately adding third parties as Friends or to Groups, or any other acts the Company considers as spam.

9.9 Fraudulent Acts to the Service

Acts that interfere with the servers and/or network systems of the Service, that abuse the Service by technical means, that deliberately take advantage of bugs of the Service, that make unreasonable demands such as repeatedly asking the same questions beyond the necessity, and that interfere with the Company's operation of the Service or Users' use of the Service.

9.10 Acts that Promote Prohibited Acts

Acts that aid or encourage any acts stated in Clauses 9.1 to 9.9 above.

9.11 Inappropriate Acts

Acts that the Company determines inappropriate.

10. User Responsibility

10. 10.1 Responsibility for Using the Service

Users shall use this Service at his/her own risk, and shall bear all responsibility for actions carried out in this Service and the results thereof.

10.2 Measures for violation in use of this Service

The Company may take measures that the Company deems necessary and appropriate, if the Company acknowledges that a User is using the service in a way which violates the Terms and Conditions. However, the Company shall not be responsible for correcting or preventing such violation.

10.3 Loss caused by Users to the Company

In the case where the Company has suffered direct or indirect loss(including but not limited to lawyer's fees)in relation to the use of the Service by a User(including but not limited to cases where the Company has been sued for damages by a third party), the User shall immediately compensate the Company for the loss upon its request.

11. The Company's Exemption of Liability

11.1 Liability for Defect Warranty

The Company does not explicitly nor implicitly guarantee that the Service(including the Contents)is completely free from de facto or legal defect(including but not limited to stability, reliability, accuracy, integrity, effectiveness, fitness for certain purposes, security-related faults, errors, bugs, or infringements of rights). The Company shall not be responsible for providing the Service without such defects.

11.2 Damage Inflicted on Users

The Company shall not be responsible for any damages inflicted upon Users in relation to the use of the Service.

11.3 Damage Inflicted on Users (damage caused by special circumstances)

Notwithstanding the condition stated in clause 11.2 above, the Company shall not be responsible for any indirect, special, incidental, consequential or punitive damages(including but not limited to such damages that the Company or Users predicted or could have predicted)with respect to the Company's contractual default or act of tort due to the Company's negligence(except for gross negligence).

11.4 Damage Inflicted on Users ( Limit of Compensation)

The compensation for ordinary damages in respect to the Company's contractual default or act of tort due to the Company's negligence(except for gross negligence)shall be limited to the total amount of received fees from the User in the particular calendar month in which such damages occurred.

12. How to Contact

12.1 Contact from the Company to Users

Communication from the Company to Users will be posted in the Service or on the appropriate site in the website operated by the Company, or by other methods that the Company deems appropriate.

12.2 Contact from Users to the Company

Users may contact the Company concerning the Service by using the inquiry form available in the Service or the website operated by the Company or by the method specified by the Company.

13. Language, Governing Law, Judicial Decision

Regarding conflicts that may arise between Users and the Company out of or in connection with the Service, the Tokyo District Court shall be the exclusive jurisdiction court of the first instance.

Where the Company has provided Users with a translation of the Japanese language version of the Terms and Conditions(hereinafter referred to as"Japanese Version"), the Japanese Version will govern the relationship between Users and the Company.In the event of a contradiction between the Japanese Version and a translation, the provisions in the Japanese Version shall take precedence over any other translation.

14. Disclaimer of Platformer/Platform Game (Third Party Service Provider in the Service)

This clause is attached to this agreement.

The platformers listed below shall not be responsible for any legal actions by the Users or third parties regarding the use of the Service.
